Vendor Hall Agreement

Direbrook gives the undersigned individual, hereafter referred to as the Vendor, the privilege, as an independent operator not as an employee or representative of Direbrook, to operate a sales booth within the Vendor Hall at the convention as designated by Direbrook or its agents.

The Vendor, in signing, agrees to abide by the conditions set forth in this document, and by directives of Direbrook and its agents. The signing Vendor MUST be in attendance and tending their booth. No subletting of selling space is allowed. Direbrook and its agents will monitor the Vendor Hall, notifying the Vendor of any infractions, and asking that violations be corrected.

I. The Vendor acknowledges being an independent operator, and that neither they, nor their agents or employees, shall have any authority to contract for or incur any liability or obligation on behalf of Direbrook, the hotel, or any of their agents, and will indemnify the above entities against any and all claims that may be made against them due to activities of the Vendor. The Vendor shall be responsible for any costs, expenses, attorney’s fees or judgments incurred by the entities mentioned above in this paragraph due to the Vendor's  activities.

II. The Vendor agrees to comply with all event, hotel, civil, county, state and federal laws, rules and regulations concerning their activities and/or sales at the convention. If the Vendor fails to comply with said rules, or with any portion of this agreement, Direbrook may, upon notification, take immediate action which in their sole judgment may be necessary to protect Direbrook’s interests, including but not limited to, the closing of said Vendor booth, removal of sales materials, removal of person(s) and halting the Vendor's activities on the premises, without refund of any fees or any other consideration to the Vendor.

III. Vendor set-up will begin no earlier than the time specified by Direbrook; any refund for cancellation must be requested at least 14 days prior to set-up. Failure to arrive for set-up forfeits the Vendor's space and fees. Vendors will leave the Vendor Hall promptly at its listed closing time and not seek entrance to it more than 1 hour before its listed opening time. After the Vendor Hall closes at the end of the convention, the Vendor will remove all equipment, sales items, supplies, packing materials, and trash from their space and premises, and leave it in a clean and orderly condition. Failure to comply may impact future acceptance as a Vendor at Direbrook.


IV. The Vendor assumes full responsibility for maintenance of their booth area and the area around it, keeping it clean and supplying all necessary materials for operation. The Vendor will stay within the stated bounds of their booth space and will not place or display outside their designated booth space; infractions will be asked to be corrected. Repeated infractions will be grounds for closure of the sales booth, forfeiture of all fees, and to not be invited back to Direbrook.


V. Direbrook welcomes all people, regardless of sex, gender identity/expression, national origin, sexual orientation, disability, physical appearance, race/ethnicity, age, religion, class, body type, or size. Direbrook is committed to providing a welcoming, safe, positive, and harassment-free convention experience for all participants. Direbrook does not tolerate discrimination or harassment in any form towards any Direbrook participants or agents, hotel staff or guests, etc.


VI. Direbrook reserves the right to demand removal of any sales items deemed unsuitable, in their opinion, for sale at the convention. Use of, sale of, or display of any illegal materials of any kind will result in the immediate cancellation of this agreement, closure of the sales booth, and forfeiture of all fees. Furthermore, the above-mentioned violations may result in the removal of the sales items and/or person(s) involved by proper authorities.

VII. Everyone connected with the Vendor's booth are considered to be party to this agreement and must abide by the Vendor Agreement, the rules of Direbrook, & all applicable civil, county, state, & federal laws.

VIII. By signing this form, the Vendor agrees that Direbrook, its agents, and the event venue are not responsible for injuries, loss or damage to person or property, and the Vendor agrees to abide by all decisions, rules and requests of Direbrook in regard to display and conduct at the convention.
